General
Our terms and conditions of sale apply exclusively to all our offers, creations, sales and deliveries, unless otherwise agreed in writing. A reference to your own purchasing or other conditions is not accepted, except in the event that Apres Ski Store, part of Sports Online BV, expressly accepts these deviating conditions in writing.
Offers and prices
All our offers are without obligation. Sports Online BV has based its prices on cost prices, which apply at the time of offer. If the cost prices have increased, Sports Online BV will have the right to increase the prices, on the other hand, the buyer is then entitled to cancel the order. If custom products are developed and/or purchased, the costs will always be charged in accordance with the offer and these will then have to be paid by the buyer in accordance with the payment agreements in force at the time. Models, images, drawings, quotations and the like supplied by Sports Online BV may not be copied or made available to third parties without the permission of Sports Online BV. Films supplied are, where applicable, suitable for screen printing and color separated. It can also be supplied digitally according to specifications provided by us. The film costs depend on the performance and the file supplied.
Property
All goods and images/models supplied by Sports Online BV remain the creative property of Sports Online BV at all times. Customized products are charged accordingly, drawing and model costs are calculated in accordance with the agreements made, this does not mean that the creative ownership is transferred. . The copyright and production rights always remain with Sports Online BV.
Delivery
All deliveries are made ex works unless agreed in writing, carriage paid. Sports Online BV determines the mode of transport, including non-free deliveries. If the buyer refuses to accept any goods sold to him by Sports Online BV, Leisure Supplies V.O. F. have the right to retain any amounts paid in advance by the buyer to Sports Online BV regarding the delivered goods in order to offset the compensation to be paid by the buyer to Sports Online BV, which the buyer pays to Sports Online BV on the basis of the order and/or refusal to accept may be due. Delivery times can only be approximated and Sports Online BV, as it will always try to observe delivery times as much as possible, is not liable for the consequences of exceeding delivery times. Customer-specific solutions in combination with printing are treated in accordance with the delivery and payment conditions of the graphic industry and it is therefore permitted to deliver 10% more or less than the ordered quantity.
Guarantee
Sports Online BV only guarantees the delivered goods if and insofar as any defect is the direct result of material and/or production errors and has been notified to Sports Online BV in writing within 8 days of the invoice date. Damage or breakage to the delivered goods must be reported in writing to Sports Online BV within 24 hours of delivery. Under this warranty, Sports Online BV is only obliged to replace the delivered goods free of charge. Shipping to and from Sports Online BV will only take place if the buyer's complaint is considered justified by Sports Online BV. If the buyer has not fulfilled the payment obligations to Sports Online BV, has handled the product improperly, or damage has been caused by third parties, the warranty obligation of Sports Online BV will never be liable for damage that the buyer may suffer due to a standstill or delay in activities for which the product has been purchased.
Payment
Every purchase and sale agreement is entered into under the conditions precedent that the buyer appears to be sufficiently creditworthy on the basis of information obtained by Sports Online BV. Payment must be made in accordance with the agreements made in the offer and recorded in an order confirmation. If this has not been determined, a final payment term of 30 days after the invoice date applies, without any discount. All delivered goods remain the full property of Sports Online BV until the buyer has met all financial obligations and is not entitled to transfer this security or otherwise to third parties. From the due date of any invoice, the buyer owes the statutory interest per month applicable at that time, which will be due and payable without any notice of default being required. All costs of collection due to non-payment, both judicial and extrajudicial, will be borne by the buyer.
Transportation
Goods delivered by Sports Online BV always travel at the risk of the Buyer. If there is a delay in delivery and/or damage is found to the goods, Sports Online BV can never be held liable for direct or indirect damage. Special packaging requirements must be communicated to Sports Online BV in advance in writing by the buyer. If desired, Sports Online BV will provide a quote for the additional measures to be taken.
Return/exchange
A return or exchange of products must be reported within 14 days of delivery. The buyer must pay the shipping costs himself and the buyer is therefore also responsible for any damage that occurs during return transport. The goods are examined by Sports Online BV upon arrival for any damage or shortcomings. Provided the goods are in good condition and there is nothing wrong with them, we will use the unit price of the product for credit or exchange. The shipping costs of the order will not be refunded. Customized products, promotional and/or residual products cannot be exchanged or returned.
Force majeur.
Force majeure is understood to mean any circumstance beyond our control that is of such a nature that compliance with the agreement cannot reasonably be expected of us (non-attributable failure to comply). Force majeure also includes: war, disturbances and hostilities of any nature, blockade, boycott, natural disasters, epidemics, lack of raw materials, prevention and interruption of transport options, disruptions in our company, import and export restrictions or bans, obstacles caused by measures , laws or decisions of international, national or regional (government) bodies. If, due to force majeure, we are unable to fulfill our delivery obligation properly or on time, we are entitled to regard the agreement or the work not yet performed as partially dissolved or to suspend it for a certain period, at our discretion. In the event of force majeure, the buyer cannot claim compensation from us.
Disputes
All disputes between the buyer and Sports Online BV arising from the purchase agreement will - unless the law provides otherwise - be decided exclusively by the competent court.
Final provision
If one or more provisions of this agreement are or come into conflict with provisions established or to be determined by any competent government authority, then the latter provisions will be deemed to have replaced such provisions.
